Though it seems that racism is an issue that was dealt with back in the 1950’s, with the likes of Martin Luther King, Malcolm X, etc., the issue lives on indefinitely. The issue remains due to the fact that crimes affiliated with certain races in recent times. These include the cartel drug deals in Mexico along with the infamous 9/11 world trade center attacks. Events like these have led to police brutality on these individuals solely based on the ethnicity they possess. Racial profiling can be said to be synonymous with stereotypes. In fact, as Gross states, â€Å"In 1999, 81 percent of surveyors in a national poll agreed that racial profiling was an issue in the United States. â€Å"From Samuel R. Answers: Introduction In this report, an attempt is made to discuss the provisions of withholding taxes of Singapore. The report aims to discuss the purpose, application, exemption and critical evaluation of the withholding taxation system. The Singapore Income Tax Act provides the relevant provisions that governs the application of the withholding tax. The main aim of this report is to gain an understanding of the withholding tax system as applicable in Singapore. 1. Withholding tax purpose In Singapore, a board under Ministry of Finance known as the Internal Revenue Authority of Singapore (IRAS) is responsible for collection of personal tax, corporate tax, goods and services tax etc. There are various tax laws that are applicable in Singapore that includes Stamp duties Act, Income Tax Act, Property Tax Act, Goods and Services Tax Act. The amount of tax payable by a taxpayer is dependent on the residential status of the payer. Therefore, the Singapore Master Tax guide (34th Edition) states that it is necessary to determine the residential status for calculating the liability of the taxpayer. It provides that an individual is regarded as resident if any of the three criterias are satisfied by the taxpayer (Hasegawa Kiyota, 2015). The first criteria states that if an individual resides in Singapore then such individual is regarded as a resident taxpayer. The second criteria states that if an individual is physically present in Singapore for 183 days or more then such ind ividual is regarded as resident for the purpose of tax. The third criteria states that if an individual is employed in Singapore then such individual will be regarded as resident for the purpose of tax. In case of companies if the management and control of the company is in Singapore, then such companies are regarded as resident. In case of resident taxpayer they are taxed using a progressive basis whereas the nonresidents are taxed using a flat rate (Teck Oei, 2016). The system of withholding is applied on payments made to nonresident employees, partners or business. The companies are bound by law to deduct from payments made to nonresidents a certain percentage of income under Part XII of Tax deducted at source. This deducted amount from the income is known as withholding tax and it is required to be deposited with IRAS (Haberly Wjcik, 2014). The system of withholding tax is an effective way of collecting tax from the nonresidents. In the withholding tax system, the burden of tax falls on the nonresidents whereas the reporting and payment responsibility is shifted to the resident taxpayer. The system of withholding tax is developed in a manner to ensure that nonresident is unable to avoid their due taxes. Based on the above discussion it can be said that the main purpose of withholding tax is to collect taxes from the nonresidents in a timely and effective manner so that the revenue of the government is safeguarded (Hussain Manaf, 2016). 2. Payment subject to withholding tax In Singapore, there are certain types of payments that are made by the residents to the nonresidents that are subject to withholding taxes. The discussion of this payments including the applicability, tax rates and an example is provided in this section of the report. The withholding tax are deducted from payments made under section 45 of the SITA relating to the interest, fees and commission. The withholding tax rate of 15% is applied only if the relevant transaction is assumed to be conducted in Singapore. It can be explained with the help of an example if an entity in Singapore obtains loan from an international institution and the interest is paid on that loan. Then in such case, the resident entity is required to deduct withholding tax at the time of making the payment of interest (Ting et al., 2016). The management fees are the payments made for the management or providing assistance in management of business or business as per section 12(7)(c ) of the SITA. The withholding taxes are applicable for management fees that are paid to nonresident. In case of management fees, the withholding tax rate is taken as the 17% or the prevailing corporate tax rate. It should be noted that the withholding tax should be computed after considering the provisions relating to the double taxation agreements. This could be explained with the help of an example if an entity in Singapore hires a management consultant from abroad then at the time of making payments the withholding taxes are deducted (Brauner Baez Moreno, 2015). The rent that are paid to nonresident for providing movable property are subject to withholding taxes. In this case, the withholding tax rate of 15% is applied on the payments made as rent to nonresidents. For example, an entity in Singapore may movable property from nonresident providers. Then in such case the rent that have been paid for the movable property to resident taxpayer are subject to withholding taxes (Dyreng et al., 2015). 3. Withholding tax exemption The withholding tax are applied to payments that have been made to nonresidents. However, there are certain types of payments that are exempted from the withholding taxes the details of which are provided in this section of the report. The payments that are made for software are regarded as the royalty payments. The withholding tax of 10% is deducted from the payments made to nonresidents (She Li, 2017). It should be noted that there are certain softwares that are exempted from withholding taxes like software that are bundled with the hardware, shrink wrap, software that are downloaded and used by the end users etc. The dividend payments that are paid to nonresidents are not subject to withholding taxes. The payments made to nonresidents for submarine cable capacity are exempted from the withholding taxes (Caruana-Galizia Caruana-Galizia, 2016). 4. Consequences for default The withholding taxes are applied based on the provisions of the relevant laws. If there is a failure to deduct withholding taxes from payments made to nonresidents then a penalty is imposed for such failures. The withholding taxes that are deducted are the debt to the government as per section 45(1) of the SITA. The section 45(3) of the SITA states that if a resident fails to deduct withholding taxes from payments made to nonresidents as per section 45(1). Then in such cases, the taxes that are due from the nonresidents are recovered from the resident taxpayers (Johannesen Zucman, 2014). The resident taxpayer is required to submit a form 137 to IRS after withholding taxes from the nonresident. It is considered as a crime if the resident taxpayer fails to submit the form or remit the amount that are deducted from the nonresidents. In this case, the penalty is imposed as three times of the amount of withholding taxes. The taxpayer is also required to pay a fine of $10000.00 or is subject to imprisonment of maximum three years. The withholding taxes deducted should deposited with the IRS within the due dates in case of any failure a penalty of maximum 20% of tax is imposed (Issa Stull, 2014). 5. Relevant case law In Singapore, the significant case related to withholding taxes is ACC V Comptroller of Income Tax (2010). This is a significant case because it was the first case to test the assertion of the comptroller that no taxpayer can challenge withholding tax. It was argued by the comptroller that the withholding tax is a mechanism for collecting taxes from the nonresidents and the taxpayer is only required to act as a collecting agent for the revenue department. In income tax, there is an opportunity to appeal against the assessment. However, as the withholding tax is a collecting mechanism so comptroller argued that no opportunity is provided for making an appeal (Kwan et al., 2016). In this case, the observation made by the court is that an agreement for interest swap does not give rise to the payment of interest. It was held by the court that the letter of demand issued by the court is an opinion and does not have any legal affects. The court further held that the responsibility of commissioner is the assessment and collection of taxes as per the income tax acts. It was concluded that the commissioner does not have the authority to make a provision of the law binding to the taxpayer (Braun Weichenrieder, 2014). 6. Effectiveness of withholding tax The entities and individuals constantly overlook the area of withholding taxes. This can be seen from the mistakes that have been made in the application of the withholding taxes. There is significant penalty that is imposed on noncompliance of the provisions of the withholding taxes. It is therefore necessary that an individual should be aware of the provisions of the withholding taxes so that any unnecessary costs can be avoided. The nonresidents mainly pay the withholding taxes so proper steps should be taken so that that awareness of the provisions can be spread among the nonresidents. The critical evaluation of the withholding tax system provides that it has helped the government to collect taxes from the nonresidents in an effective manner. The revenue loss of the government has reduced, as the residents are required to pay the taxes if the nonresident avoid paying the taxes (Lai et al., 2016). Based on the above discussion it can be said that the withholding tax system has been applied in an effective manner thereby improving the collection of taxes. However, the government should respond appropriately to ensure that nonresidents accurately complete the Form C. In order to avoid noncompliance it is suggested that assistance should be provided for marinating appropriate records. It is recommended that the tax liability of a resident taxpayer should be reduced if the resident taxpayer has pay the withholding tax (Koenig, 2014). Conclusion The discussion of the above report highlights that withholding taxes has helped the Singapore government to increase revenue. Answer: Introduction: According to the business efficacy test a contract between two parties will include terms and conditions, which are not expressly mentioned in it. These terms and conditions are known as implied terms. These terms will deemed to be included in the contract if the court feels that such terms are essential and obvious and without them the contract will not have a complete meaning. These terms are not included merely if they are wanted and practical (Carter and Courtney 2016). The MOOROCK is a very famous English case, which had put the business efficacy test to use. In this case, the plaintiff had on a basis of a contract, rented a jetty from the defendant to dock and unload his ship. The ship was damaged when the sea level went down due to a low tide. The plaintiff claimed that it was the responsibility of the defendant to ensure the safety of the ship while it was docked at his jetty. The argument made by the defendant stated that there were no such expressed terms in the contract and he could not foresee the circumstances. The court applied the business efficacy test to this case and gave a judgment that it was the duty of the defendant to arrange for the protection of the ship parked at his jetty. In Marks and Spencer plc v BNP Paribas Securities Services Trust Company (Jersey) Limited and another, the question before the court was that whether to include an implied term in a contract between the tenant and the land lore. In this case, the court decided against the introduction of an implied term in the contract and provided that the terms sought by the tenant cannot be included as, the contact was fair initially. According to the business efficacy test of common law in terms of contact If a the court comes to a conclusion that a term which is not expressly present in a contract but is apparent to all the parties of a contact and without the inclusion of the term the contract would be incomplete, the court may order for the inclusion of that term as an implied term (Manesh 2013). This term of business efficacy has been used in famous cases like the Moorock case and Foo Jong Peng and others v. Phua Kiah Mai and another. According to section 5 of the Unfair Terms in Consumer Contracts Regulations a term is set to be unfair if The term had not been bargained personally and not made in good faith. If a condition is drafted in advance, that it is said to be not personally bargained. According to section 8(1) of the unfair terms in consumer contracts regulations an unfair term in a contract will not be enforceable by the parties to a contract. According to section 8 (2) of unfair terms in consumer contracts regulations All others terms in the particular contract shall be binding on the parties. According to schedule (2)(1)(a) a organization an exclusion or limitation on the legal right of person to claim compensation in case of death or personal injury cannot be made in a contract. These terms are regarded as unfair terms. According to section 26 (2) of the Workplace, Safety and Health (operations of cranes) regulations it is the duty of the contractor to make sure that the installation and dismantling of a crane is done under his supervision. Application: According to the principles of common law if the business efficacy test is applied in this case, it would be every clear to say that it is the implied duty of Cranes Co (CC) to: Ensure that the labor provided by them is properly trained and skilled to be able to safely dismantle the crane provided by them for the purpose of construction Ensure that while the process of dismantling the crane is operated it does not cause personal injury to any person at the site or to the site itself. CC has violated such provisions as its agent Tower Cranes Pte Ltd (TC) have supplied labor who were not well trained or efficient to go through with the process of dismantling. CC has also violated such provision as during the process of dismantling the crane 3 works at the site had to face personal injuries. According to the provision for the privity of a contract, a person who is not, a party to the contract has no right in the contract unless he has some benefit in the contract and the parties to the contract did not include such clause in it. Although Straits Builders Pte Ltd (SB) is not a direct party to the contract between TC and CC, the particular contact will affects the position of SB it the TC does not fulfill their obligation in accordance to the contract. SB is entitled to claim damages against the action of TC from CC according to section 2 of the Contracts (rights of Third Parties) Act 2001. CC and TC share a principal agent relationship so CC is liable to be sued for any act or omission made by TC. The terms in the clause 6 of the contract between CC and SB provides that CC will not be liable for any personal loss or injury or any kind of damage suffered by an individual due to the tower cranes or due to the process of their dismantling. SB will also not be held liable for any loss arising due to the defects in the crane. Schedule 2 of unfair terms in consumer contracts regulations says that parties to a contact cannot prohibit another to exercise its legal right over, death or personal injury caused to the second party or any of its representatives due to the errors on the parts of the first party. This term included in clause 6 is an unfair term according to section 8(1) of unfair terms in consumer contracts regulations. In addition, according to 8(2) this term is not binding on the contact between them. Another term is schedule 6 of the agreement, which provides that the CC will not be liable if SB suffers any loss due to the stoppage of work by them in compliance to a judicial authority. The term is only valid as far as where the work is stopped in compliance of a judicial authority and not otherwise (Booysen et al. 2016). Conclusion: In the contact between SB and CC, the clause 6 has an unfair term, which is not binding on SB; it is implied and obvious that CC is liable to perform its duty with full care with respect to the contract. Both authors/ poets lived a life you could write a book on. They began with similarities from birth till death. Weird and strange events took place throughout their stay on Earth. Both authors time of birth was within a decade apart, and both were born on the East Coast, Melville born in Boston and Poe born in New York. They each were born into poverty and had troubles to worry about. Poe's parents died when he was at a young age, and Melville's parents were failures in business, which led to the death of his father at the age when Melville was twelve. Poes education came from West Point Academy, but not by choice. His foster father paid for Poe to attend, and eventually Poe dropped out. He moved with his Aunt Maria in Baltimore. Melville received his education from school, and sailing the oceans with sailors at a young age. Melville never looked back after sailing out on adventures. He stayed and lived for a period of time on one of the islands called Nuku Hiva. At this time in their lives is when everything became twisted in my opinion. To start off when Poe moves to Baltimore with his aunt, he then marries his cousin Virginia. How in the world could you tell people, ?Yeah, this is my fourteen year old cousin/ wife. Does not sound to good if you ask me! On the other hand you could be on an island where people believed in canabalism. That is where Melville ended up while at his stay at Nuku Hiva. I am not sure if Melville took part in eating humans, but either way you would not catch me around these two weirdoes. The climax of Melvillles career came in 1850, when he published Moby Dick. The book is still a favorite today. He made money off of the book, but would it be enough to continue publishing books? The climax of Poes carrer came when he published The Raven in 1845. The book is still read in and out of the classrooms today. The Raven is better than Moby Dick in my opinion. Both books are still sold in stores to this day. One word to summarize both authors' careers is DEBT. They did not have enough money to come out with more poems or stories. When they did come out they did not do so well as their previous masterpieces. That's when drinking took over Poes life. It is said that his drinking was exaggerated that he did not drink that much. As well as alcohol there was opium and that was not better for Poe either. Then you have Melville and his troubles. He is quoted saying; ? Dollars Damn me?. (English book) No money no publications. Melville did however publish a collection of poems when he was older and then retired. Poe died in 1849, and Melville in 1891. I picked these two authors/ poets to write about because their masterpieces of writings are still cherished to this very day. They each lived in the same time frame, and their best works were with in five years of each other. Their styles of writing are different, but still their work is like no other.

Today Palladios architecture is a model for building with the 3 rules of architecture attributed to Vitruvius- a building should be well-built, useful, and beautiful to look at. Palladios Four Books of Architecture was widely translated, a work that quickly spread Palladios ideas throughout Europe and into the New World of America. Born Andrea Di Pietro della Gondola, he was later named Palladio after the Greek goddess of wisdom. The new name is said to have been given to him by an early employer, supporter, and mentor, the scholar and grammarian Gian Giorgio Trissino (1478-1550). It is said that Palladio married a carpenters daughter but never bought a house. Andrea Palladio died August 19, 1580 in Vicenza, Italy. Early Years As a teenager, the young Gondola became an apprentice stone cutter, soon joining the guild of masons and becoming an assistant in the workshop of Giacomo da Porlezza in Vicenza.  This apprenticeship proved to be the opportunity that brought his work to the attention of the older and well-connected Gian Giorgio Trissino. As a youthful stone cutter in his 20s,  Andrea Palladio (pronounced and-RAY-ah pal-LAY-deeoh) worked on renovating  Villa Trissino in Cricoli. From 1531 to 1538, the young man from Padua learned the principles of Classical architecture when he worked on new additions for the villa. Trissino took the promising builder to Rome with him in 1545, where Palladio studied the symmetry and proportion of the local Roman architecture. Taking his knowledge back with him to Vicenza, Palladio won a commission to rebuild the  Palazzo della Ragione, a defining project for the 40-year-old budding architect. Like architects today, Palladio was faced with the task of rejuvenating a crumbling structure. Confronted with the problem of designing a new front to the old regional palace at Vicenza, he solved it by surrounding the old great hall with an arcade in two stories, in which the bays were nearly square and the arches were carried on smaller columns that stood free between the larger engaged columns separating the bays.
